These Terms of Service ("Terms") govern your access to and use of the Planet POS system ("Service") provided by Jade Empire Limited ("Jade Empire", "we", "our", or "us"). By accessing or using the Service, you ("Customer", "you", or "your") agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
Jade Empire provides a cloud-based and/or on-premise point-of-sale system ("Planet POS") for retail, hospitality, and service-based businesses.
The Service includes software, support, updates, maintenance, and associated features as described on our official website or agreed in a subscription plan.
We may offer additional modules or services ("Add-ons"), which are subject to these Terms unless otherwise specified.
To use the Service, you must register for an account and provide accurate, complete, and current information.
You are responsible for maintaining the confidentiality of your account credentials and are fully responsible for all activities that occur under your account.
You must notify us immediately if you suspect unauthorized access to your account.
Use of Planet POS may require subscription fees or one-time payments as described in your invoice or subscription agreement.
All payments are due in accordance with the billing schedule. Failure to pay may result in suspension or termination of your account.
Fees are exclusive of taxes, levies, or duties imposed by taxing authorities, which you are responsible for paying.
Subject to your compliance with these Terms, Jade Empire grants you a non-exclusive, non-transferable, revocable license to use Planet POS solely for your internal business purposes.
You may not:
You retain all ownership rights to the data you input into Planet POS ("Customer Data").
You grant Jade Empire a limited license to use Customer Data solely to provide, maintain, and improve the Service.
You are responsible for complying with all applicable data protection and privacy laws, including obtaining consent where necessary.
We aim to provide continuous access to Planet POS but do not guarantee uninterrupted or error-free operation.
Scheduled maintenance will be communicated in advance. Emergency maintenance may occur without prior notice.
Jade Empire is not liable for any losses resulting from service downtime or data unavailability.
Basic support is included according to the subscription plan.
Support may include assistance via phone, email, or chat. Response times are not guaranteed unless specified in a service-level agreement (SLA).
Additional support services may be provided at extra cost.
You agree not to:
The Service is provided "as is" and "as available." Jade Empire disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that Planet POS will meet your requirements or operate without errors.
You acknowledge that data backups are your responsibility unless we offer a backup service under your plan.
To the maximum extent permitted by law, Jade Empire shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data.
Our total liability arising out of or relating to the Service shall not exceed the fees paid by you in the six months preceding the claim.
Either party may terminate the Service with written notice.
We may suspend or terminate your access immediately if you breach these Terms or engage in prohibited conduct.
Termination does not relieve you of outstanding payment obligations or liability for breaches prior to termination.
All intellectual property rights in Planet POS, including software, design, documentation, and trademarks, remain the sole property of Jade Empire.
Nothing in these Terms grants you any rights to our trademarks or branding, except as expressly permitted for normal use of the Service.
Use of Planet POS is governed by our Privacy Policy, which outlines how we collect, store, and use your personal and business data.
By using the Service, you consent to the practices described in the Privacy Policy.
These Terms are governed by the laws of the Republic of Kenya.
Any dispute arising from or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If unresolved, disputes will be submitted to the courts of competent jurisdiction in Nairobi, Kenya.
Jade Empire may modify these Terms at any time. Updated Terms will be published on our website and/or communicated to you.
Continued use of Planet POS after changes constitute your acceptance of the revised Terms.
